Clauses
1. First clause: Object of the contract
The purpose of this contract is to regulate the legal relationship between EDUGUIDERS and THE STUDENT, establishing the conditions under which the institution will provide the educational services corresponding to the contracted academic program, as well as the rights and obligations of both parties throughout its execution. The specific characteristics of the program, including modality, duration, schedules, cost, start date and other specific conditions, will appear in the Academic File, which forms an integral part of this contract as Annex I.
2. Second clause: Nature of the educational service
The parties recognize that the contracted service constitutes a provision of an educational and training nature. Consequently, THE STUDENT recognizes that academic achievement will depend not only on the quality of the service offered by EDUGUIDERS, but also on personal factors such as: attendance, punctuality, discipline, independent study, constant practice, active participation, completion of tasks and evaluations and personal interest in learning. Therefore, EDUGUIDERS does not guarantee specific academic results when these depend directly or indirectly on the individual performance of the student.
3. Third Clause: Acceptance of the Student Regulations
By signing this contract, THE STUDENT and THE CONTRACTUAL RESPONSIBLE declare that they have received, read and accepted the EDUGUIDERS Student Regulations, committing to comply with all the academic, disciplinary and administrative regulations contained in said document. The Student Regulations form an integral part of this contract as Annex II. The modifications that EDUGUIDERS subsequently makes to the Regulations will be communicated through the official means of the institution and will be applicable from their entry into force, provided that they do not affect previously acquired rights.
4. Clause four: Academic organization
In order to guarantee the continuity, efficiency and quality of the educational service, EDUGUIDERS may make reasonable adjustments related to schedules, academic calendar, teaching modality, group distribution, assignment or replacement of teachers, technological platforms, educational resources, methodology, teaching materials, evaluations and other operational or academic aspects that are necessary for the proper development of the program. Likewise, the opening of each program will be subject to the minimum number of participants determined by the institution. Such adjustments will not constitute a breach of contract as long as they do not substantially alter the nature of the contracted program.
5. Fifth Clause: Obligations of EDUGUIDERS
During the term of this contract, EDUGUIDERS undertakes to: teach the contracted academic program, designate teaching staff with the necessary skills, provide access to the corresponding academic activities, supply the materials included within the contracted program, when said materials are part of the contracted academic program, maintain an environment suitable for learning, promptly report any important modifications related to the development of the program and issue the corresponding certifications when the student meets the established requirements. EDUGUIDERS may substitute teachers, facilitators or academic staff when reasons of availability, organization, performance, force majeure or any other reasonable circumstance so require, guaranteeing at all times the continuity and quality of the program.
6. Clause six: Obligations of the student
THE STUDENT is obliged to: attend classes punctually, comply with assignments, practices and evaluations, maintain respectful behavior towards teachers, classmates and administrative staff, take care of the facilities, equipment and materials provided by EDUGUIDERS, properly use the institutional platforms, keep their personal data updated, comply with the Student Regulations and refrain from engaging in any conduct that affects the normal development of academic activities. When THE STUDENT is a minor, the Contractual Responsible undertakes to maintain active participation in their training process, monitoring their attendance, academic performance, behavior and communications issued by EDUGUIDERS, collaborating with the institution when required to guarantee the adequate development of the program.
7. Clause seven: Price and payment method
THE CONTRACTUAL RESPONSIBLE is obliged to pay the value corresponding to the academic program contracted in accordance with the payment method established in the Academic File. Monthly payments must be paid within the dates established by the institution. Payments may be made through any of the means authorized by EDUGUIDERS. The institution may enable new bank accounts, electronic platforms or payment mechanisms when it deems appropriate, without the need to modify this contract.
8. Clause eight: Confirmation of registration
The student's registration will only be formalized when the following conditions are met simultaneously: presentation of the required documentation, signing of this contract, acceptance of the Student Regulations, payment of the registration or the amount initially required, administrative validation carried out by EDUGUIDERS. Until these requirements are met, the institution will be able to freely dispose of the corresponding quota.
9. Clause nine: Non-compliance with payment
Non-payment entitles EDUGUIDERS to suspend, totally or partially, any of the following services: class attendance, access to virtual platforms, academic materials, evaluations, tutoring, issuance of certificates, issuance of diplomas, certificates, academic records and any other complementary service. The suspension of the service will not extinguish the economic obligations previously assumed by THE CONTRACTUAL CONTROLLER. The suspension of the service due to financial non-compliance will not imply automatic reservation of the student's place, and EDUGUIDERS may use it when the situation requires it to guarantee academic organization.
10. Clause ten: Withdrawal, cancellation and refund policy
Payments made for registration, monthly payments, reservations or any other academic service will not be refundable, unless expressly decided in writing by EDUGUIDERS. Likewise: the voluntary withdrawal of the student will not extinguish the financial obligations previously generated; non-attendance, abandonment of the program, change of address, change of work schedule, loss of interest, personal difficulties or any other circumstance attributable to the student will not give the right to a refund; When the student has attended three (3) or more classes, the educational service will be deemed to have begun, so no refund will be issued; Payments may not be transferred to another person or automatically applied to another academic program, unless expressly authorized by EDUGUIDERS; In duly justified exceptional cases, the institution may authorize academic credits or rescheduling, without this constituting an obligation for future cases. The amounts paid for registration, reservation of space or acquisition of academic materials will be considered consumed from the moment EDUGUIDERS makes the necessary investments to guarantee the provision of the service, so they will not be refunded either.
11. Clause eleven: Requirements for certifications and diplomas
The issuance of certificates, transcripts, academic records, diplomas or any other document issued by EDUGUIDERS will be conditional on the simultaneous compliance with the academic, administrative and economic requirements established by the institution. Consequently, as long as the student maintains pending obligations of any nature or has not met the minimum attendance, evaluation or participation requirements established for the corresponding academic program, EDUGUIDERS may retain said documents until the situation has been regularized.
12. Clause twelfth: Attendance, participation and recovery of classes
The student recognizes that punctual attendance, active participation and compliance with academic activities constitute essential elements of the training process. EDUGUIDERS may establish minimum percentages of attendance, practices, projects, evaluations and other academic requirements for approval of the program. Absence, even when justified, will not generate the right to a refund, discount, financial compensation or individual repetition of the contents taught. The recovery of classes will only proceed when the nature of the program, institutional availability and teaching planning allow it, being an exclusive faculty of EDUGUIDERS and not an acquired right of the student. When the suspension of a class is attributable exclusively to EDUGUIDERS, it will be rescheduled at no additional cost.
13. Clause thirteenth: Conduct and institutional coexistence
The student agrees to maintain respectful, ethical conduct in accordance with institutional principles during all activities organized by EDUGUIDERS, whether in person, virtual or carried out outside the institution's facilities. Likewise, you are obliged to treat teachers, collaborators, students, guests and any person linked to the educational process with respect, refraining from conduct that disturbs order, affects coexistence or compromises the institutional image.
14. Clause fourteen: Disciplinary measures
When the student commits academic, administrative or disciplinary breaches, EDUGUIDERS may apply corrective measures that are reasonable and proportional to the severity of the conduct, including verbal or written reprimands, temporary suspension of activities, restriction of access to institutional platforms, loss of certain academic benefits or, in more serious cases, the termination of this contract. The application of these measures will not exempt the contractual party from compliance with the financial obligations previously assumed.
15. Clause fifteenth: Intellectual property and use of academic material
All content developed, supplied or used by EDUGUIDERS constitutes the exclusive intellectual property of the institution or its respective owners, including methodologies, academic programs, manuals, guides, presentations, exercises, evaluations, audiovisual resources, software, platforms, brands, logos and any other physical or digital material. The student acknowledges that said materials form part of the economic value of the contracted program and that their delivery does not imply transfer of rights, commercial license or authorization to reproduce, modify, share, publish, distribute, commercialize or use all or part of its content to teach courses, training or similar activities without prior written authorization from EDUGUIDERS. Failure to comply with this provision will entitle the institution to terminate this contract, without prejudice to the corresponding civil, criminal or intellectual property actions.
16. Clause sixteenth: Use of technological platforms, recordings and artificial intelligence
When the academic program uses virtual platforms or technological tools, the student must exclusively use the credentials assigned by EDUGUIDERS and refrain from sharing them with third parties, accessing institutional systems without authorization or carrying out any action that compromises their security. Likewise, unless expressly authorized by EDUGUIDERS, you will not be able to record the classes in their entirety, retransmit them or disseminate their content by any means. The use of artificial intelligence tools must be carried out solely for learning purposes and never to commit academic fraud, alter evaluations, impersonate identities or violate the integrity of the educational process.
17. Clause seventeenth: Processing of personal data and authorization of image use
By signing this contract, the student and, when applicable, the contractual person, authorize EDUGUIDERS to collect, store and use the personal data provided exclusively for academic, administrative, legal, statistical and institutional communication purposes related to the provision of the educational service. Likewise, they authorize the institution to capture and use photographs, audio recordings, videos or any other audiovisual material obtained during classes, academic activities, events, workshops, graduations, competitions or institutional activities, for educational, informative, advertising and promotional purposes on social networks, websites, printed, audiovisual, digital media or any other means of institutional dissemination, without generating the right to any financial compensation. This authorization will remain in effect as long as the material is used for the purposes indicated above and may be revoked in writing only with respect to future uses that have not yet been published.
18. Clause eighteen: Suspension of service
EDUGUIDERS may temporarily suspend the provision of the educational service when there is non-compliance with the economic, academic or disciplinary obligations assumed by the student or the contractual party responsible. The suspension will not extinguish the obligations previously contracted nor will it generate the right to return the amounts paid.
19. Clause nineteen: Termination of the contract
EDUGUIDERS may terminate this contract when the student or the person responsible for the contract seriously fails to comply with the obligations established herein, incurs in academic fraud, falsification of documents, physical or verbal attacks, intentional damage to institutional property, discriminatory conduct, improper use of technological platforms, violation of the intellectual property of the institution, unauthorized reproduction, disclosure or use of academic material or institutional methodology, repeated breach of the financial obligations assumed in this contract or any other action that compromises the order, security or the normal functioning of EDUGUIDERS. Termination of the contract for these reasons will not give rise to a refund of payments made.
20. Clause twentieth: Equipment and materials
When EDUGUIDERS gives the student equipment, tools, devices, books, teaching materials or any other resource for use during the academic program, the student is obliged to use them diligently and in accordance with the instructions given. The student or the Contractual Responsible will be liable for damages caused by negligent use, loss, destruction or use other than academic purposes, and must assume the cost of its repair or replacement when appropriate.
21. Clause twenty-one: Force majeure
When circumstances of force majeure, unforeseen events, government regulations, health emergencies, natural phenomena or any situation beyond the control of EDUGUIDERS prevent the normal development of academic activities, the institution may suspend them, reschedule them, modify their modality or adopt the necessary measures to guarantee the continuity of the service, without this constituting a breach of contract.
22. Clause twenty-second: Communications
Any communication related to this contract may be made through any of the official channels of EDUGUIDERS, including email, instant messaging, institutional platforms, circulars or any other means authorized by the institution. The student and the Contractual Responsible undertake to keep their contact information updated and recognize the communications made by said means as valid.
23. Clause twenty-third: Responsibility
EDUGUIDERS will be responsible exclusively for the obligations derived from the provision of the contracted educational service. The institution will not be responsible for losses, damages or losses caused by events attributable to the student, third parties or by circumstances beyond its control. Likewise, the student will be responsible for any damage caused intentionally or negligently to the facilities, equipment, furniture or other property belonging to EDUGUIDERS, being obliged to repair or compensate for the damages caused.
24. Clause twenty-four: Modifications of the contract
EDUGUIDERS may update this contract when necessary to adapt it to legal, academic, administrative or institutional modifications. The modifications will be communicated in a timely manner and will apply to future hiring or subsequent academic periods, unless otherwise provided by law.
25. Clause twenty-fifth: Dispute resolution
The parties will attempt to resolve in good faith any difference arising from the interpretation or execution of this contract through dialogue and EDUGUIDERS' internal conciliation mechanisms. If it is not possible to reach a friendly solution, the disputes will be heard by the competent courts of the Dominican Republic, in accordance with current legislation.
26. Clause twenty-six: Contractual integrity
This contract, together with the Academic Document of the Program and the Student Regulations, constitutes the entire agreement between the parties regarding the provision of educational services, leaving void any negotiation, communication or previous agreement related to its object.
